Commercial License Agreement

1. Grant of License
Subject to the terms and conditions of this Agreement, the Licensor hereby grants to the Licensee a non-exclusive, worldwide, annual license, renewable upon payment of the Annual Subscription Fee, to use and commercially exploit the “Models Table Pro” database, scripts, underlying methodologies, and resulting outputs (collectively, the “Data“), with modifications limited to those described in Section 3.
2. Condition Precedent: Payment of Fees
The license granted under Section 1 is strictly conditional upon the receipt of the Annual Subscription Fee in full. No rights under this Agreement vest until the Annual Subscription Fee for the current coverage period has been received in full, and the Licensee shall have no legal right to use or distribute the Data for commercial purposes prior to settlement.
3. Usage Rights
3.1 Commercial Distribution: The Licensee may use the outputs across commercial deliverables (including paid research, reports, presentations, newsletters, advisory engagements, editorial content, and internal briefings). Outputs incorporated into client-facing or public deliverables should be presented as static figures rather than executed live from the database. Internal live use within the Licensee’s organisation is permitted, subject to Section 4. Public-facing outputs derived from the Data should include a visible credit to “LifeArchitect.ai” and “Models Table Pro”, in a form reasonably prominent within the deliverable.
3.2 Modifications: The Licensee may export the Data and adjust mathematical constants (e.g., hardware efficiency or hourly rates) to reflect shifting market conditions. Modifications are for internal use only and may not be redistributed, sublicensed, or resold, whether standalone or as part of a derivative product.
4. Delivery Format
Models Table Pro is provided as an analytical reference resource intended for research, reporting, and strategic review. While internal live use is permitted, the Licensee is encouraged to export the Data to Excel, CSV, or an equivalent static format for any sustained downstream analysis, which provides a reliable snapshot decoupled from ongoing updates to the source.
5. Refunds
Annual Subscription Fees are non-refundable once access has been granted. If a refund, chargeback, or payment reversal occurs at the Licensee’s initiation, this Agreement is treated as never having taken effect, and the Licensee must cease all use of the Data and take reasonable steps to withdraw any outputs previously produced under the license. Refunds issued voluntarily by the Licensor are treated as a normal termination under Section 6.
6. Termination
This Agreement terminates at the end of the annual coverage period unless renewed upon payment of the Annual Subscription Fee. Failure to pay by the renewal date will result in immediate revocation of the commercial license, and continued use of the Data following termination constitutes a breach of this Agreement. Outputs already published in static form prior to termination may remain in circulation, but all live or ongoing use of the Data must cease.
7. Disclaimer of Warranty
The Data includes estimates derived from stated assumptions and market constants. The Licensor makes no warranty as to accuracy, fitness for purpose, or suitability for investment, procurement, or commercial decisions. Licensee assumes all risk associated with reliance on the Data.
8. Confidentiality of Private Columns
Certain fields in Models Table Pro are not published in the public version and constitute confidential analytical work product of the Licensor. Licensee may publish analysis and outputs derived from these fields under Section 3, but shall not redistribute the underlying raw contents of the private columns outside the permitted internal distribution list.
9. Governing Law
This Agreement is governed by the laws of South Australia, Australia. The parties submit to the non-exclusive jurisdiction of the courts of South Australia in respect of any dispute arising out of or in connection with this Agreement.
